We have an office in Hong Kong, which is in association with Angela Ho & Associates, a local securities and commercial law firm. Our associated office has advised on Hong Kong corporate and finance matters including red-chip listings on the HKSE Main Board and Growth Enterprise Market. In Hong Kong, we also have close working relationships with Skadden, Arps, Slate, Meagher & Flom, with SNR Denton, and with Morrison & Foerster. Our close working relationships extend to top-tier Chinese law firms such as King & Wood, Jun He, and Tian Yuan.

- China Health Labs & Diagnostics Ltd. (TSX-V:CHO), a Chinese medical diagnostic equipment manufacturer
M&A Transactions
- Acted for Yukon Zinc Corporation, a Canadian resource company, in its sale to Jinduicheng Molybdenum Group and Northwest Nonferrous International for $110 million
- Acted for IDG Capital Partners, a Beijing based fund, in connection with its investment in Minco Silver Corp and Minco Gold Corp, two Canadian resource companies with operations in China
- Acted for Red Rock Capital Corp. in a strategic relationship between WISCO and Century Holdings which included private placement, joint venture and off-take agreements
Dual Listing Transactions
- Acted for Citigroup and BOC International in connection with the dual listing of China Gold International Resources Corp., a TSX listed mining company, on the Main Board of the HKSE; we were involved in all aspects of the listing project, including structuring of the corporate group preparatory to listing, applications for waivers from Canadian prospectus requirements, shareholder meetings, the A1 document, and advising on continuous and timely disclosure
- Acted (jointly with our associated Hong Kong office) for a TSX-V listed mining company in connection with a dual primary listing on the HKSE
