Professional Experience Ted Scott is a senior corporate partner and, until recently, the Chair of the firm's Corporate Group. He is a former head of the firm's Corporate Financial Services Section and served two terms as a founding member of the firm's Board of Partners.

Ted practises business law with an emphasis on mergers and acquisitions, private equity, corporate finance, joint ventures and strategic alliances and complex commercial transactions. He has broad experience acting for public and private corporations and financial institutions in transactions and general commercial matters.

In his transactions practice, Ted led the McMillan teams that acted for:
  • Royal Bank of Canada on the sale of its Payroll Technologies business to ADP (1997) and on the sale of its corporate VISA business to US Bank (2000)
  • Royal Bank and RBC Insurance in acquiring Westbury Canadian Life Insurance Company (1996), the Canadian business of Mutual of Omaha (1997), the Canadian business of Prudential of America Life Insurance Company (Canada) (2000) and the Canadian business of UnumProvident Canada (2004)
  • Kilmer Group in its merger transaction involving the Warren Group and Lafarge Canada (2000), the Lafarge North America going private transaction (2006) and the recent Ontario Highway Service Centre PPP Project (2010)
  • Intact Financial Corporation (formerly ING Canada) in various acquisitions and divestitures including the sale of its commercial marine insurance business (2005), the acquisition of Grey Power Insurance Brokers (2006) and its investment in Anthony Clark Insurance Brokers (2008)

He represents a variety of other clients in transactions and general commercial matters including Canon Canada and various Honda-related entities.

In his private equity practice, Ted has been involved in the formation of several private equity funds and most recently the formation of Kilmer Capital Fund II L.P. (2007-2008). Ted was recognized as the legal "architect" of the Kilmer Brownfield Equity Fund L.P. which won a special Brownie Award from the Canadian Urban Institute in 2006 for innovative finance of brownfield redevelopment. He has broad experience in private equity investing including in the Kilmer Group's successful investments in Maple Leaf Sports and Entertainment Ltd., Coretec and SMTC (IPO, 2000), York Uniforms (2004), Vansco Electronics (2008) and Coalision (2008).

McMillan has developed extensive experience and expertise in the automotive industry and Ted was the Founding Chair of the firm's Automotive Business Group. Ted has assisted several automotive manufacturers and distributors and numerous automotive parts companies in establishing greenfields manufacturing and/or distribution operations in Canada. Earlier in his career he was involved in the establishment of wholesale and retail automotive financing programs for automotive industry clients.
