Professional Activities

Ryan Black is a partner in the firm's Business Law and Technology and Intellectual Property Law Groups.

Ryan has extensive intellectual property and information technology experience combined with a background in corporate matters. As a former software and Internet developer, Ryan has a unique insight into and focus on computer, software and Internet law. He is able to address legal issues in emerging Internet technologies and software ranging from open source issues to cloud computing. In addition to cyber law experience, Ryan has worked on matters involving mergers and acquisitions, technology outsourcing, service provisioning, high-technology employment, software licensing and online disputes.

More generally, Ryan's practice focuses on intellectual property work (including copyright, trademarks, industrial designs, trade secrets and patents), employment law, corporate/commercial law (particularly involving technology companies) and entertainment law (with a focus on licensing and intellectual property issues).

Ryan's clients range from start-ups and SMEs to major private and public companies. He has also provided advice to video game clients.

Ryan regularly represents clients in various corporate and transactional matters including the following:

  • Acted for Cengea Solutions Inc. in its acquisition by Trimble Navigation Limited, September 2010.
  • Acted for Silian Sapphire Corporation, a wholly-owned subsidiary of China Silian Instruments Group Co., Ltd. of Chongqing, China, in the acquisition of the assets of Honeywell International Inc., Honeywell ASCa Inc., and Honeywell Electronic Materials, Inc., August 2008.
  • Acted for the special committee of the board of directors of Gemcom Software International Inc. in its acquisition by a vehicle indirectly owned by affiliates of JMI Equity Fund VI, L.P., Carlyle Venture Partners III, L.P. and Pala Investments Holdings Limited for approximately C$190 million, July 2008.
  • Acted for Sierra Systems Group Inc. in its acquisition by Golden Gate Capital, January 2007.
  • Acted for Sierra Systems Group Inc. in its acquisition of Alberta-based Turn Key Management Consulting Partnership, May 2006.
